These Terms of Service (“Terms”) govern your access to and use of Agent Suite websites, applications, and related services (collectively, the “Services”) offered by us (“we,” “our,” or “us”). By creating an account, purchasing a subscription or product, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
2. License to use the Services
Subject to these Terms and your payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own business purposes in accordance with our documentation and acceptable use standards.
3. Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights
- Attempt to gain unauthorized access to our systems, other users’ data, or third-party data sources
- Use automated means to scrape, harvest, or overload the Services except where we explicitly permit integration or APIs
- Reverse engineer, decompile, or circumvent technical limitations except where applicable law allows
- Upload malware or content that is unlawful, defamatory, harassing, or infringing
4. Fees, trials, and renewals
If you purchase a paid plan or add-on, you agree to the pricing and billing terms presented at checkout or in your order. Unless stated otherwise, subscriptions renew automatically until you cancel according to the cancellation method we provide. Taxes may apply where required.
5. Third-party data and integrations
The Services may display or process data from third parties (for example, MLS listing providers, maps, messaging, or payment processors). That data is subject to the third party’s rules and licenses. We do not warrant the accuracy or availability of third-party data. Your use of such data must comply with applicable MLS or vendor terms.
6. Your content
You retain rights to content you submit. You grant us a license to host, process, and display that content as needed to operate and improve the Services for you. You represent that you have the rights to submit the content you provide.
7. Intellectual property
The Services, including software, branding, and documentation, are owned by us or our licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted.
8. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
9. Limitation of liability
To the fullest extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Services will not exceed the greater of (a) the amounts you paid us for the Services in the twelve months before the claim or (b) one hundred U.S. dollars ($100), except where liability cannot be limited under applicable law.
10. Indemnity
You will defend and indemnify us against claims arising from your use of the Services, your content, or your violation of these Terms or applicable law, subject to our prompt notice and reasonable cooperation.
11. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we discontinue the Services (with reasonable notice where practicable). You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.
12. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. If changes are material, we will provide additional notice as required by law or as we reasonably deem appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules, unless a different governing law is required by the jurisdiction where you reside.
